Contributor Ownership Statement

This statement is to protect You and Your Contributions, as well as the Project and its users. This statement will apply to any Contributions You submit to Farfetch and by submitting a Contribution to Farfetch You are agreeing to be bound these terms.

  1. Definitions. To shorten this statement we have used some definitions, which are signified by a use of a capital letter. The following terms have the following explanation when used:

    • "Contribution" means the code, documentation or other original works of authorship, as well as any original work of authorship, including any modifications or additions to an existing work, that is intentionally submitted by You to Farfetch for inclusion in, or documentation of, any of the products owned or managed by Farfetch (the "Project"). For the purposes of this definition, "submitted" means any form of electronic, verbal, or written communication sent to Farfetch or its representatives, including but not limited to communication on electronic mailing lists, source code control systems, and issue tracking systems that are managed by, or on behalf of, Farfetch for the purpose of discussing and improving the Work, but excluding communication that is conspicuously marked or otherwise designated in writing by You as "Not a Contribution."
    • "Farfetch" means Farfetch UK Limited (06400760).
    • "Group Members" means an entity which, directly or indirectly through one or more intermediaries, controls, is controlled by, or is under common control with that entity, where "control" means holding, directly or indirectly, a majority of the voting rights in it, or the power to direct or cause the direction of its management, policies or operations (whether through holding of voting rights, by contract or otherwise).
    • "You" (or "Your") shall mean the copyright owner or legal entity authorised by the copyright owner that is agreeing to this statement.

  2. Subject to this statement, You grant to Farfetch and its Group Members and to recipients of software distributed by Farfetch and or its Group Members a perpetual, worldwide, non-exclusive, sub-licensable, no-charge, royalty-free, irrevocable licence to use, modify, reproduce, prepare derivative works of or otherwise exploit and distribute Your Contributions and such derivative works.

  3. Except for the licence granted in this statement to Farfetch and its Group Members and recipients of software distributed by Farfetch or its Group Members, You reserve all right, title, and interest in and to Your Contributions.

  4. You agree that You are legally entitled to grant the above licence. If Your Contribution is made in the course of Your work for an employer, or Your employer has intellectual property rights in Your Contribution by contract or applicable law, You must secure permission from Your employer to make Your Contribution. If moral rights apply to Your Contribution, to the fullest extent possible under law, You waive and agree not to assert moral rights against Farfetch or any successor of interest or licensee (either direct or indirect).

  5. You agree that each of Your Contributions is Your own work and You are the owner of any intellectual property in and to Your Contribution. You agree that Your Contribution and its receipt, use and possession by Farfetch or any of its Group Members does not and will not infringe the intellectual property rights of any third party.

  6. Unless required by applicable law or agreed to in writing, save for the terms of this statement, You provide Your Contributions on an "AS IS" BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, either express or implied, including, without limitation, any warranties or conditions of MERCHANTABILITY, or FITNESS FOR A PARTICULAR PURPOSE.

  7. This statement is governed by the laws of England.
